Letter to Congregation | Bylaws | Articles | Resolution
A Special Meeting of the Members of the "Congregation" of Community Church of Joy ("CCOJ") was held beginning at 1:00 PM on the 26th day of September, 2010 to adopt these Resolutions as required by the "Bylaws" dated January 12, 2003 and by the "Constitution" of Community Church of Joy dated January 12, 2003.
Amendment to Bylaws Was Properly Proposed and Approved by the Board of DirectoRS.
As required by Chapter 17, Section C17.01 of Constitution the proposed “Amendments” to the Constitution (and Bylaws) were proposed by the Board of Directors in writing 60 days before the date of the Special Congregation Meeting. The proposed “Amendment” was approved at a legally called Board of Director’s Meeting on July 13, 2010 by a majority of the Directors present and voting at the Director’s Meeting. (Although there is no requirement for the Board to approve an amendment to the Bylaws, the Board of Directors also approved the proposed amendment at that meeting.)
The “Effective Date” of the proposed Amendment is October 1, 2010 and is specified in the Amendment as required by Chapter 17, Section C17.02(c).
Notice to the Congregation of the Proposed Amendment to the Constitution and Amendment Was Properly Given.
Per Chapter 16, Section C16.03 regarding Bylaws and per Chapter 17, Section C17.01 regarding the Constitution the Board of Directors notified the Voting Members of the Congregation of the proposed amendments along with the boards' recommendations at least 30 days in advance of the Special Congregation Meeting.
Special Congregation Meeting Was Properly CalleD.
As allowed by Chapter 10, Sections 10.01, et seq., of the Constitution of CCOJ, a “Special Congregation Meeting” was called by the Directors, the Senior Pastor and/or the President as noted in the minutes of the meeting of the Board of Directors held on August 17, 2010.
Call
The Special Congregation Meeting was held pursuant to the notice of the items to be considered at the meeting listed on the "Call" attached as Exhibit "A" as required by Chapter 10, Section C10.02 of the Constitution which requires that the “Call” shall specify the purpose for which the meeting is to be held (the “Business”) and no other business shall be transacted.
Voting Members
To qualify as a “Voting Member” of the Congregation, a person must meet these requirements:
Notice of the Meeting
Notice of the date, time, place and the listing of “Business” to be considered at the Special Congregation Meeting was given in accordance with Chapter 10, Section C10.03 of the Constitution which requires notice be given to Members. Notification of the Special Meeting must include (a) and either of (b) or (c). Notification was given by all three of these required methods:
(a) No less than two public services immediately preceding the meeting, which services are to be at least one week apart. This requirement was met by announcement from the pulpit and by distribution of the material attached as Exhibits A, C and D to the Congregation at the regular weekend services held on September 12th, 2010 and September 19th, 2010.
(b) In a publication as the Congregation may periodically issue. This requirement was met by including announcement on the church website at www.joyonline.org. This Internet posting on the church website is the CCOJ regular periodical publication.
(c) By written notice to the Voting Members mailed not less than ten days prior to the meeting by regular mail, postage prepaid, sent to the last known address of the members weeks prior to a Special Meeting. As required by A.R.S. §10-3720, the Secretary of the Board (also) maintains, or causes to be maintained, an official “Members Roll” containing the names and last known addresses of all of the Voting Members of the Church in the form described on Exhibit B. This requirement was met by a first class mailing to all voting members on or before August 26th, 2010.
Quorum Confirmed at the Congregational MeetinG.
Chapter 10, Section C10.04 of the Constitution defines a “Quorum” as consisting of the Voting Members that are present at the Congregation Meeting. Those in attendance were checked against the Members Roll, and the undersigned confirmed that ____ Members of the Congregation were present and voting and declared that a legal Quorum was present.
Sufficient Votes Required for Approval of Resolutions Were Obtained.
Chapter 10, Section C10.06 of the Constitution provides for a majority vote to adopt resolutions except as otherwise provided in the Bylaws or the Constitution. Chapter 17, Section C17.02.b requires a two-thirds majority vote of those present and voting to amend the Bylaws or the Constitution. Since Arizona Revised Statutes Section 10- 11003 A 5 also requires the approval of two-thirds of the votes cast to amend the Articles of Incorporation, the two-thirds voting requirement was used as the standard of approval.
After general discussion, the undersigned personally counted____ Members voting in favor of adoption of the Resolutions and confirmed that this vote exceeds the requirement of a two-thirds majority of those Members present and voting to be being legally binding.

The Members of CCOJ hereby resolve that as of the Effective Date of October 1, 2010:
The undersigned hereby certify that: (i) I personally witnessed the events described above; (ii) these Resolutions were adopted as indicated; (iii) these Resolutions have neither been repealed nor modified; and (iv) these Resolutions are in full force as of the date listed below.

Exhibit B
The “Membership Roll” containing a true, correct, complete and accurate list of all persons who were qualified as “Voting Members” as of the date of the Congregational Meeting is maintained in the Church office and is available for inspection. It was signed and certified by the Senior Pastor as correct.
